Terms of Service

These Terms of Service ("Terms") govern your use of UAS-products and services, including the Drone Integration Handbook, Forge build planner, Wingman AI, PIE intelligence platform, and related tools (collectively, the "Service"), operated by Midwest Nice UAS LLC ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

UAS-provides drone compliance intelligence, supply chain analysis, build planning tools, and AI-assisted research. The Service includes:

• Free tier: Drone Integration Handbook, Forge build planner, Wingman AI with Gemini/Groq, public PIE flags and analytics
• Commercial tier ($29/month): Wingman AI with Claude, PIE predictions, gray zone scoring, dealer intel, supply chain analysis, document builder (commercial operator docs)
• DFR tier ($49/month): All Commercial features plus FAA waiver templates, CONOPS builder, grant narrative generator, DFR platform database, regulatory KB
• Agency tier ($299/month): All DFR features plus full gray zone methodology, sourced evidence reports, NDAA compliance reports, multi-seat access, API access, program tracking

2. Subscriptions and Billing

Paid subscriptions are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

• Subscriptions auto-renew monthly unless cancelled
• You may cancel at any time through the Stripe customer portal; access continues through the end of the current billing period
• No refunds are issued for partial months, except as required by applicable law
• We reserve the right to change pricing with 30 days notice to your registered email

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Resell, redistribute, or sublicense access to any paid features without written permission
• Attempt to reverse engineer, scrape, or extract data from the Service in bulk
• Use PIE intelligence data or compliance reports to make investment, legal, or procurement decisions without independent verification
• Share your subscription token or proxy secret with unauthorized third parties

4. Intelligence Data and Reports

PIE intelligence data, gray zone scores, compliance reports, and predictions are derived from open-source information and automated analysis. They are provided for informational and due diligence purposes only and do not constitute legal, financial, or professional advice.

We make no warranties regarding the accuracy, completeness, or timeliness of intelligence data. Gray zone scores reflect pattern analysis and should be verified with primary sources before any procurement or legal decision.

5. Intellectual Property

The Drone Integration Handbook content is published openly. The PIE intelligence engine, gray zone scoring methodology, Forge database, and Wingman AI system are proprietary to Midwest Nice UAS LLC.

Reports you generate using the Service may be used for your internal business purposes. You may not republish or commercialize report content without permission.

6. AI-Generated Content

Wingman AI and PIE predictions use third-party AI models (Anthropic Claude, Google Gemini, Groq/Llama). AI-generated content may contain errors. You are responsible for verifying AI outputs before relying on them for decisions.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIDWEST NICE UAS LLC DISCLAIMS ALL WARRANTIES AND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law principles. Disputes shall be resolved in the courts of Minnesota.

10. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or a notice on the Service. Continued use after changes constitutes acceptance.
